Introduction

These Terms & Conditions govern your use of our website foundercartel.com and all services provided by Founder Cartel, an ecommerce and digital marketing agency. By using our services, you agree to comply with these terms.

Services

Founder Cartel provides digital marketing and consultation services including but not limited to:

  • Performance Marketing
  • Content Creation & UGC Production
  • Social Media Management
  • Retention Marketing
  • Shopify Store Design & CRO
  • Growth & Consultation

We reserve the right to update or modify service offerings at any time.

Payments & Fees

  • Retainer / Service fees will be communicated in advance via proposal, quotation or booking platform.
  • Payments must be made as per agreed milestones or before service delivery.
  • Fees for consultations (e.g., strategy sessions) are non-refundable unless otherwise stated.
  • Additional costs (e.g., ad spend, third-party tools, platform fees) are the client’s responsibility.

Client Responsibilities

To ensure smooth execution, clients agree to:

  • Provide accurate and complete information (brand details, product data, ad accounts, etc.).
  • Grant necessary access to platforms (Shopify, Google Ads, Meta Ads, analytics, etc.) for campaign setup and execution.
  • Ensure all creative assets, product claims and materials provided are legally compliant.

Intellectual Property

  • Any creative assets, campaigns or content developed by Founder Cartel remain our property until full payment is received.
  • Upon payment, rights to custom deliverables (content, creatives, store design) are transferred to the client, unless otherwise agreed.
  • Founder Cartel may showcase non-confidential work in our portfolio for promotional purposes.

Confidentiality

Both parties agree to maintain confidentiality regarding all business, brand and marketing data shared during engagement.

Limitation of Liability

  • Founder Cartel will make every effort to achieve the best results through our digital marketing services, but we cannot guarantee specific outcomes (e.g., revenue, ROAS, conversion rates).
  • We are not responsible for delays, losses or issues caused by third-party platforms (e.g., Shopify, Meta, Google) or client-side errors.
  • Our total liability will not exceed the fees paid for the service in question.

Termination

Either party may terminate the agreement with written notice. In case of termination:

  • Fees for services already delivered will remain payable.
  • Pre-paid services may be adjusted or refunded based on the work completed.

Third-Party Tools & Platforms

We use tools such as Shopify, Google, Meta, WhatsApp Business API, Klaviyo and others to execute campaigns. We are not responsible for their policies, updates or platform-related issues.

Governing Law & Jurisdiction

Any disputes, claims or legal proceedings arising out of or in connection with the service delivery or delays, shall be subject to the exclusive jurisdiction of the courts located in the city where Founder Cartel’s registered office is situated.

Periodical Updates

Founder Cartel reserves the right to update, change or replace any part of these Terms & Conditions by posting updates and/or changes to it’s website. Your continued use of or access to this website following the posting of any changes constitutes acceptance of those changes. You can review the most current version of these Terms & Conditions at any time on this page. Any new features or tools which are added to the current store shall also be subject to these Terms & Conditions.
